Terms and Conditions of Services

1. Scope

These Terms and Conditions apply to all services delivered by Bodhi Productions SL, including but not limited to:

• Website and web application design and development
• Mobile application design and development
• Film production (short films, documentaries, corporate video)
• Online course creation and platform integration
• Creative direction, brand identity, and art direction
• SaaS product development and consulting

Any acceptance of an offer, signature of a proposal, or commencement of service constitutes full acceptance of these Terms. In case of conflict, the provisions in the signed service agreement or proposal shall prevail.

2. Engagement & Execution

Services are provided based on an obligation of means, not results, unless expressly agreed. Engagements are confirmed via signed proposal, email approval, or partial payment.

Work is carried out during business hours (Monday to Friday, 9:00–18:00 CET), unless otherwise stated. All timelines are indicative unless explicitly marked as binding.

3. Fees, Invoicing & Payment Terms

• Fees are defined in each service proposal (fixed fee or time-based).
• Invoices are payable by bank transfer within 30 calendar days.
• Late payments trigger interest at 12% annually and a flat penalty of €150, in accordance with Spanish law.
• Late payments may result in suspension of services.
• All amounts are exclusive of VAT and applicable taxes.
• Expenses, third-party licenses, and travel costs are invoiced separately when applicable.

4. Confidentiality

Both parties commit to strict confidentiality of all commercial, technical, and strategic information exchanged. This obligation survives the end of the engagement for 5 years.

Confidential data may only be disclosed internally or to authorized subcontractors bound by similar obligations.

5. Data Protection

Bodhi Productions SL complies with the General Data Protection Regulation (EU Regulation 2016/679) and Organic Law 3/2018 (Spain).

Where personal data is processed on behalf of the client, a Data Processing Agreement (DPA) will be signed upon request. The client remains the controller of the data.

6. Intellectual Property

Unless otherwise stated:

• You retain ownership of your data and internal documents.
• We retain ownership of all templates, methods, tools, or pre-existing materials.
• Deliverables are licensed for your internal use only and may not be distributed or reused commercially without written permission.
• Any open-source or third-party software remains subject to its own license.

7. Liability & Risk

• Our liability is strictly limited to the total fees paid for the specific service causing the issue.
• We are not liable for indirect damages, loss of business, reputation, or regulatory penalties.
• We are not responsible for third-party software or service failures.
• You remain responsible for decisions made based on our recommendations.
• Nothing in this agreement limits liability in case of gross negligence or fraud.

8. Cancellation & Termination

• Either party may terminate with 30 days’ written notice.
• In case of material breach, the non-breaching party may terminate after 10 days’ notice, unless the breach is resolved.
• Upon termination, all services delivered remain payable.
• Projects already started must be completed or closed by mutual agreement.
• In case of unjustified termination by the client, we reserve the right to invoice remaining work and claim compensation.

9. Force Majeure

Bodhi Productions SL is not liable for delays or failure due to force majeure events, including but not limited to: natural disasters, governmental restrictions, war, labor strikes, or widespread infrastructure failures.

In such cases, obligations are suspended for the duration of the event.

10. References & Publicity

Unless otherwise agreed, Bodhi Productions SL may mention the client’s name and general scope of services as a reference in its materials, without disclosing confidential content.

11. Governing Law & Jurisdiction

These Terms are governed by Spanish law. All disputes shall be submitted to the exclusive jurisdiction of the courts of Las Palmas de Gran Canaria, unless otherwise required by applicable consumer or public procurement law.
